About the Role
The Corporate Counsel is the trusted legal advisor to the business, working closely with commercial, operations, manufacturing, technology and corporate development teams. You will ensure legal compliance, manage legal risk, support international expansion, protect our intellectual property and enable commercial and operational growth. This role requires a hands-on, pragmatic legal partner who can operate in a fast-paced and highly innovative environment.
Key Responsibilities & Strategic Focus
Legal Advisory & Transactions
Draft, review, negotiate and advise on key commercial contracts, including OEM agreements, licensing, supply-chain/manufacturing contracts, NDAs and service agreements.
Provide legal support for commercial deals, technology licensing, joint ventures and IP arrangements.
Conduct due diligence for partnerships, investments and strategic collaborations. Manage external legal counsel for specialized topics such as litigation, IP enforcement and cross-border regulation.
Advise commercial, manufacturing, R&D and supply-chain teams on legal risks associated with new products, market entries and customer programmes.
Corporate Governance & Compliance
Support governance processes, including board documentation, resolutions, subsidiary management and corporate records.
Ensure compliance with corporate law, contract law, manufacturing and supply-chain regulation, export controls, EU energy and environmental rules and data privacy requirements.
Develop and maintain internal policies, including code of conduct, anti-bribery and corruption, export compliance, IP, data privacy and whistle-blower procedures.
Monitor regulatory developments relevant to HVAC/heat pumps, refrigerants, incentives and energy regulations in collaboration with Public Affairs.
Intellectual Property & Technology Protection
Support IP strategy with R&D teams across patents, trademarks, trade secrets and licensing.
Manage IP risk, including freedom-to-operate reviews, infringement assessments and licensing negotiations.
Support technology transfer, manufacturing and supply-chain arrangements from an IP and legal perspective.
Risk Management & Litigation
Identify legal risks across the business and develop mitigation strategies.
Oversee or manage litigation, disputes, claims and investigations, directly or through external counsel.
Support supply-chain and manufacturing risk management, including liability frameworks, warranties, indemnities and product-liability considerations.
Align insurance structures and legal frameworks with the company’s scale-up and commercial expansion.
International & Manufacturing Legal Support
Advise on cross-border contracts, market entry requirements, foreign subsidiaries and local compliance.
Support manufacturing and supply-chain scale-up, including supplier agreements, procurement terms, logistics, export controls and employment considerations abroad.
Support legal review of EU and national incentives, grants and subsidy programmes.
Operational Legal Partnership
Embed legal processes into business operations across commercial, supply-chain, manufacturing, product and finance teams.
Develop and maintain contract templates, a contract playbook and legal best practices.
Train teams on legal risks, contracting, IP awareness and compliance obligations.
Maintain legal operations tools and systems including contract lifecycle management, IP registers, dashboards and external counsel management.
Delegate effectively, train others and provide structured, clear legal guidance.
What You Bring
Qualified lawyer (LL.M or equivalent).
Minimum of 8 years of legal experience, ideally with in-house exposure in technology, manufacturing, clean-tech, energy or hardware sectors.
Strong transactional background, including OEM, licensing, distributor, supply-chain and manufacturing agreements.
Experience with IP, technology licensing and global supply-chain legal issues.
Solid understanding of EU and Dutch corporate, regulatory and export-control frameworks.
Strong business acumen and ability to provide practical, risk-balanced guidance.
Excellent communication skills, able to work effectively with engineers, commercial teams, executives and external counsel.
Comfortable working in a scale-up environment, hands-on, flexible and able to manage ambiguity.
Fluent in English; Dutch or additional European languages are a plus.
Experience with international operations, cross-border transactions and global supply-chain contexts.
